Sounds to me like someone (either your agent or the sellers, probably both) aren't fulfilling their fiduciary responsibility. If you lose your EMD then it's time to lawyer up.

If the acquisition happens in the same calendar year it's a wash sale. Separate calendar year it's a new basis.
Guys, you sell for $70 and buy back for $80...that not only wipes out your $10 profit but leaves you at -$10. Selling for $90 gets you back to dead even. No loss and no profit.
